From this breadth of experience, Janet offers a more thorough and creative response to real estate and business obstacles and opportunities. </p> <p>Representative transactions include the acquisition, sale, and finance of commercial properties (office, apartment, retail and industrial), residential and commercial ground-up developments and redevelopments, retail, industrial, and office leasing, trustee’s sales, loan workouts, and loan mod’s, and sales commission disputes.</p> <p>In today’s vibrant economy, Janet’s business law and commercial real estate practice continues to be dynamic. Having represented marijuana business ventures in Arizona, Colorado and other States since 2011, Janet is often called upon to mediate partner disputes, draft specialized marijuana contracts, organize affiliated entities, arrange transactions that conclude the receivership of a dispensary or cultivation facility, change the management or board decision-makers, litigate illegal zoning decisions on behalf of marijuana businesses, introduce marijuana businesses to banking organizations and other key services providers, and connect clients with other businesses in this space. Given the conflict between Federal and State laws on the status of marijuana in the United States, Janet has also been called upon to update the public on current cannabis industry affairs.</p> <p>In the cannabis industry, representative matters include the takeover of a marijuana dispensary and its cultivation facility, kitchen, and management team in a receivership action and the related purchase of real estate and financing in an approximate $6 million series of transactions; litigation against a municipality for its wrongful zoning decision on a dispensary; drafting of cannabis law-compliant Articles, Bylaws and other entity governance documents; and the sale of members’ ownership interests in an entity managing a cultivation facility.
