<p>Jere M. Friedman focuses his practice on business transactions, with particular emphasis on business financings, mergers and acquisitions, and the myriad of other legal and business issues that large, medium, and small businesses encounter on a daily basis. Mr. Friedman serves as principal outside counsel to large and small companies, individual entrepreneurs, and investors. He provides day-to-day legal advice on a wide variety of business activities and corporate transactions. For many years, Mr. Friedman has consistently been named one of "Arizona's Best Lawyers."<br /> <br /> Mr. Friedman has extensive experience in advising clients with respect to federal and state securities laws as they apply to public and private offerings of equity and debt securities; mergers and acquisitions; equity-based incentive and compensation programs; disclosure documents required for private capital raising transactions; seed capital and venture capital transactions; business formation and strategic planning; real estate syndications; federal and state investment adviser registration; licensing agreements; and other general corporate matters. Mr. Friedman has served as issuer's, underwriter's, or investor's counsel in a number of public and private equity and debt offerings and has handled SEC reporting and compliance for numerous publicly held companies. He also has represented public and private companies, including several leading industry consolidators, in connection with mergers and acquisitions or dispositions. Mr. Friedman represents and advises entrepreneurs and investors involved with start-up business formation, emerging business capital-raising activities, and other legal matters.<br /> <br /> From 2001 to 2007, Mr. Friedman taught Securities Regulation as a Faculty Associate at Arizona State University College of Law. Mr. Friedman received his bachelor's degree, <em>cum laude</em>, from the University of South Alabama in 1987 and his J.D., <em>magna cum laude</em>, from Georgetown University Law Center in 1993. Mr. Friedman also holds a Masters Degree in Spiritual Psychology from the University of Santa Monica, is a Certified Meditation and Mindfulness Instructor and certified Breathwork Healer, and is widely considered one of the best gong players and sound healers in the world.</p>
