<p>As my firm concentrates its law practice in areas related to taxation, I maintain an active CPA license in the state of California. The firm accepts engagements in the areas of (i) estate and income tax planning, (ii) estate (probate) and trust administration, including trust and estate tax returns, (iii) business formations, sales and acquisitions, including choice of income taxation as a sole proprietor, Subchapter S or regular corporation, or partnership; (iv) negotiation and documentation of buy-sell agreements, business transactions such as real estate sale, 1031 exchange or leasing arrangements, employment agreements, and general contracts, (v) tax controversy matters. The firm also will provide integrated legal, accounting and economic analysis to clients in connection with review of business plans and critique of business valuations in the context of buying or selling a business, or dissolving a domestic or business partnership.<br /> Projects have included:<br /> -Creation of revocable and irrevocable trusts, wills, and powers of attorney; probate and trust administration, including estate and gift tax returns as well as trust income tax returns for estates from $100,000 to over $20M.<br /> -Principal legal counsel for set up, financing and operation of numerous start-up businesses, from small one person enterprises to one business which was named for two years to Inc. Magazine&rsquo;s &ldquo;500 Fastest Growing Companies&rdquo; list and grew to have assets in excess of $100M. Areas dealt with included choice of entity, tax planning, securities offerings, employment agreements, employment disputes, intangible asset protection and many other areas.<br /> -Resolution of corporate shareholder dispute relating to debt restructuring of a closely held corporation. Project included working with co-counsel on a bankruptcy trial, restructuring the company and the eventual profitable sale of assets in excess of $12,000,000.</p> <p> -Reconstruction of income and preparation of numerous years of unfiled income tax returns.</p>
